Here are the Terms & Conditions for DigiFlexi:

1. Introduction

Welcome to DigiFlexi. By accessing our website or engaging our services, you agree to be bound by the following Terms & Conditions. Please read them carefully before proceeding. If you do not agree with any part of these terms, we ask that you refrain from using our services.

2. Services

DigiFlexi provides web design, web development, e-commerce solutions, search engine optimisation (SEO), and related digital services. The specific scope of work for each project will be outlined in a separate Project Proposal or Service Agreement provided to the client prior to commencement.

3. Project Proposals & Agreements

All projects begin with a written proposal detailing the scope of work, deliverables, timeline, and pricing. Work will not commence until the proposal has been accepted and the agreed deposit has been received. Any changes to the agreed scope of work may result in additional charges and revised timelines.

4. Payment Terms

  • A deposit of 50% of the total project fee is required before work begins.
  • The remaining balance is due upon project completion, prior to the final delivery or website launch.
  • Payments can be made via bank transfer, PayPal, or other methods agreed upon in writing.
  • All invoices are due within 7 business days of the invoice date.
  • Late payments may incur a late fee or result in work being paused until payment is received.

5. Revisions & Change Requests

Each project includes a set number of revision rounds as outlined in the proposal. Revisions beyond the agreed scope will be quoted and billed separately. DigiFlexi reserves the right to charge for additional work that falls outside the original brief.

6. Client Responsibilities

To ensure projects are delivered on time and to the highest standard, clients are responsible for:

  • Providing all necessary content, assets, and information in a timely manner
  • Reviewing and providing feedback within agreed timeframes
  • Ensuring all materials supplied are legally owned or licensed for use
  • Nominating a single point of contact for project communication

Delays caused by the client may result in revised timelines and additional costs.

7. Intellectual Property

Upon receipt of full and final payment, ownership of the completed website and associated design assets will transfer to the client. DigiFlexi retains the right to display the completed work in our portfolio unless otherwise agreed in writing.

Third-party tools, plugins, themes, or software used in the project remain subject to their respective licences and are not owned by DigiFlexi or the client outright.

8. Confidentiality

Both parties agree to keep all project-related information, business details, and communications confidential. DigiFlexi will not share client information with third parties without prior written consent, except where required by law.

9. Warranties & Disclaimers

DigiFlexi warrants that all work will be completed with reasonable skill and care. However, we do not guarantee specific outcomes such as search engine rankings, conversion rates, or business results, as these are influenced by factors beyond our control.

Our websites are tested across modern browsers and devices. We cannot guarantee compatibility with all legacy systems or future software updates made by third-party platforms.

10. Limitation of Liability

To the fullest extent permitted by law, DigiFlexi's total liability to any client shall not exceed the total fees paid for the project in question. DigiFlexi shall not be liable for any indirect, incidental, or consequential loss or damage arising from the use of our services or deliverables.

11. Termination

Either party may terminate a project by providing written notice. In the event of termination:

  • Work completed up to the point of termination will be invoiced and payable by the client
  • The deposit is non-refundable unless DigiFlexi is at fault
  • All assets and files created up to that point will be handed over upon receipt of outstanding payments

12. Governing Law

These Terms & Conditions are governed by the laws of the Republic of Indonesia. For Australian clients, DigiFlexi endeavours to operate in accordance with relevant Australian Consumer Law where applicable. Any disputes will be resolved in good faith through direct negotiation in the first instance.

13. Changes to These Terms

DigiFlexi reserves the right to update these Terms & Conditions at any time. Changes will be published on our website with an updated effective date. Continued use of our services following any changes constitutes acceptance of the revised terms.
